Bylaws – why do professional organizations need them?

March 52010

Such as the Association of Computing and Machinery (ACM)? How can bylaws be incorporated into working life?

Generally, bylaws do NOT have to be filed with the secretary of state of the relevant jurisdiction. Bylaws is essentially a contract between the corporation and its shareholders, and governs that relationship. It is basically an internal governing document. If, however, there is a conflict between the bylaws and articles of incorporation, the articles of incorporation will govern.
